1. Acceptance of These Terms
By registering for or using AmanAuth (the "Platform"), you ("Merchant", "you") agree to these Terms of Use ("Terms"). If you do not agree, do not use the Platform.
2. What AmanAuth Provides
AmanAuth is a license-key management platform for software vendors. Through your account you may:
- Purchase Points, a virtual balance used to generate license keys, at the price and tax rate published on our Pricing page (both admin-configurable and shown to you before purchase);
- Purchase a Subscription/Access Plan, which grants platform access for a fixed period and may include bonus Points;
- Generate, activate, reset, freeze, block, and delete license keys for your own software, using a pre-built SDK for device activation/validation;
- Create Reseller sub-accounts with limited, scoped permissions to manage a subset of your keys;
- Request a bespoke Private API Token integration, quoted and delivered on a custom basis;
- Give your own customers ("End Users") a link to a self-service portal to check or reset their own license, without giving them access to your AmanAuth account.

3. Eligibility & Account Registration
- You must be at least 18 years old (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into a binding contract to register as a Merchant.
- You are responsible for the accuracy of the information you provide at registration and for keeping your login credentials confidential. You are responsible for all activity that occurs under your account, including actions taken by any Reseller sub-accounts you create.
- We may require email verification before your account becomes active, and may use automated bot-detection (Google reCAPTCHA) on registration, login, and password-reset forms to protect the Platform.
- We may suspend or terminate accounts that are suspicious, fraudulent, or in breach of these Terms.
4. Fees, Points, and Subscription Plans
- Points are purchased at the price-per-point and tax rate shown to you at the time of purchase. Payments are processed by Stripe (card/Apple Pay) or a third-party cryptocurrency payment processor. Prices, tax rates, and available Subscription Plans may be changed by us at any time; changes do not apply retroactively to Points or plans already purchased.
- Points are spent to generate license keys. Once spent, Points are consumed and are not returned, except as described in §5 below.
- Subscription Plans grant time-limited platform access and, where stated, bonus Points; they do not guarantee any specific volume of key generation.
- [LEGAL REVIEW] Confirm the correct VAT treatment and e-invoicing (ZATCA "Fatoora") requirements for invoices issued to customers in Saudi Arabia, and whether these Terms need an explicit VAT-inclusive/exclusive pricing statement.
5. No Refund Policy
We do not issue cash refunds for Points, Subscription Plans, or Private API Token purchases. The only recovery mechanism is: a license key that has never been activated by an End User may be deleted at any time, and the Points originally spent to generate it are automatically credited back to your Points balance. Once a key has been activated, it is no longer eligible for this credit.
[LEGAL REVIEW — IMPORTANT] The Saudi E-Commerce Law and general consumer-protection principles may grant individual consumers certain rights to return/refund digital purchases within a defined window, particularly if any Merchant, Reseller, or End User could be classified as a "consumer" rather than a business acting in a commercial capacity. A specialist should confirm:
- whether this blanket no-refund policy is enforceable as against every category of user on this Platform (B2B Merchants vs. any individual/consumer-like user), and
- whether a narrower, legally compliant refund/cooling-off carve-out is required.
6. License Keys & Acceptable Use
- License keys generated through the Platform are licensed to you for use in your own software, not sold outright, and remain subject to whatever additional terms you set for your own End Users.
- You agree not to: circumvent or attempt to bypass the Platform's license validation mechanism; share, resell, or sublicense your AmanAuth account credentials; use the Platform to generate keys for software that is illegal, infringing, or fraudulent; reverse-engineer, decompile, or attempt to extract the source code of the AmanAuth SDK; or use automated means to abuse, overload, or probe the Platform's public endpoints (which are rate-limited and monitored).
- Violation of this section may result in immediate suspension of your account and forfeiture of unspent Points, at our discretion.
7. Resellers
If you create Reseller sub-accounts, you are solely responsible for that Reseller's conduct on the Platform, and for any agreement between you and your Reseller. AmanAuth is not a party to that relationship and grants Resellers only the limited permissions you configure (e.g., viewing/resetting assigned keys).
8. End Users
End Users are your customers, not ours. AmanAuth has no direct contractual relationship with your End Users; it provides only the underlying key-validation/activation infrastructure and, optionally, a self-service portal branded to look like part of your product. You are responsible for:
- your own product's terms of service and privacy policy shown to your End Users;
- obtaining any consents from your End Users that your own use of device/activation data may require; and
- responding to your End Users' support requests about your product (AmanAuth's support system is for Merchants, not End Users).
9. Suspension & Termination
We may suspend or terminate your account for breach of these Terms, non-payment, suspected fraud, or if required by law. Upon termination, outstanding license keys already activated by End Users may continue to function or may be disabled, at our discretion and depending on the reason for termination; unspent Points are not refunded in cash (see §5).
You may close your account at any time by contacting support; closing your account does not entitle you to a refund of unspent Points or unused Subscription Plan time.
10. Intellectual Property
The Platform, its SDK, branding, and underlying software are the property of AmanAuth (or its licensors) and are protected by applicable intellectual property laws. These Terms do not grant you any rights to AmanAuth's intellectual property beyond the limited right to use the Platform and SDK as intended.
11. Third-Party Services
Payments are processed by Stripe and a third-party cryptocurrency payment processor, each under their own terms of service, which you also agree to when making a payment. We are not responsible for the acts or omissions of these third-party processors.
12. Disclaimers & Limitation of Liability
[LEGAL REVIEW] The following is a common SaaS liability structure and must be reviewed and calibrated by a specialist against Saudi contract law before publication — enforceability of broad liability caps/exclusions can vary by jurisdiction and by whether the counterparty is treated as a consumer.
- The Platform is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
- We do not warrant that the Platform will be uninterrupted, error-free, or fully secure.
- To the maximum extent permitted by law, AmanAuth's total liability for any claim arising from your use of the Platform is limited to the amount you paid to AmanAuth in the twelve (12) months preceding the claim.
- We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data, arising from your use of the Platform.
13. Indemnification
You agree to indemnify and hold AmanAuth harmless from any claims, damages, or expenses arising from your breach of these Terms, your use of the Platform, or your relationship with your Resellers or End Users.
14. Governing Law & Dispute Resolution

- Whether an Arabic-language version of these Terms must be the authoritative, binding text for Saudi users (this English draft should not be assumed sufficient on its own).
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to Merchants via email or an in-app notification before they take effect; continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

Appendix — Open Questions for the Legal Specialist
- Confirm whether AmanAuth requires E-Commerce Law registration/disclosures given it sells digital services to Saudi-based businesses.
- Confirm enforceability of the blanket no-refund policy (§5) against every category of user, and whether a narrower consumer carve-out is legally required.
- Confirm VAT/ZATCA e-invoicing requirements for Points, Subscription, and Private API Token invoices.
